1. Acceptance of Terms
By clicking "Create workspace", signing in, or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy and Refund Policy. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. The Service is not intended for individuals under 16 years of age.
2. The Service
Agentify provides an AI-powered business automation platform that may include, depending on your plan: AI Chatbots, Voice Agents, outbound and inbound Calling Agents, a Customer Relationship Management (CRM) module, conversational analytics, lead capture, appointment scheduling, knowledge bases, and related integrations and APIs.
Features, plan limits and availability may evolve over time. We aim to provide a stable, reliable Service but do not guarantee that the Service will be uninterrupted, error-free, or that any specific feature will be preserved indefinitely.
3. Accounts and Account Security
- You must provide accurate, current and complete information when registering and keep it updated.
- You are responsible for safeguarding your credentials and for all activity that occurs under your account.
- You must notify us immediately at security@agentify.ai of any unauthorized use or suspected breach.
- You may invite team members to your workspace; you are responsible for their compliance with these Terms.
4. Subscription Plans and Billing
Agentify offers Free and paid subscription plans (Professional, Business and Enterprise). Paid plans are billed on a recurring basis (monthly or annually) in advance. Pricing, included usage and feature entitlements are shown on the billing page at the time of purchase.
Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, currency conversion, tax collection, invoicing and refund mechanics are governed by Paddle's Buyer Terms.
4.1 Renewals
Paid subscriptions renew automatically at the end of each billing period at the then-current price unless cancelled before renewal. You may cancel at any time from the in-app billing page or via the Paddle customer portal.
4.2 Upgrades and Downgrades
- Upgrades take effect immediately and are prorated for the remainder of the current billing period.
- Downgrades take effect at the end of the current billing period, after which the lower plan limits apply.
4.3 Taxes
Prices may exclude applicable VAT, GST, sales tax or other duties, which Paddle calculates and collects in accordance with your billing location.
4.4 Failed Payments
If a renewal payment fails, we will attempt to recover payment for a reasonable retry window. Continued non-payment may result in feature restriction, downgrade to the Free plan, or suspension of the account.
5. Free Plan and Usage Limits
The Free plan is provided "as is" and is subject to usage limits (for example, one workspace, one chatbot, a monthly leads cap, and restrictions on publishing Voice and Calling Agents). Limits are enforced server-side. We may change Free plan limits with reasonable notice.
6. Cancellation
You may cancel a paid subscription at any time. Cancellation takes effect at the end of the current billing period, and you retain access to paid features until that date ("end-of-period cancellation"). We do not provide partial refunds for unused time, except as described in our Refund Policy or as required by applicable law.
7. Acceptable Use
You agree not to use the Service to:
- Violate any law or third-party right, including intellectual property, privacy or publicity rights;
- Send spam, perform unsolicited mass outreach, or violate telemarketing, SMS, email or robocall regulations (including TCPA, CAN-SPAM, CASL, GDPR/ePrivacy and equivalent laws);
- Impersonate any person or entity, or misrepresent that AI-generated content or voice was produced by a human in any context where such disclosure is required by law;
- Generate, distribute or facilitate illegal content, harassment, hate speech, sexual content involving minors, deepfakes intended to deceive, malware, or content that promotes violence or self-harm;
- Attempt to interfere with or compromise the Service, probe for vulnerabilities, bypass rate limits, or reverse engineer the platform except where expressly permitted by law;
- Use the Service to make automated decisions producing legal or similarly significant effects on individuals without appropriate human oversight and legally required disclosures;
- Process special categories of personal data (health, biometric, etc.) unless your plan, configuration and a separate written agreement with us permits it.
8. AI Features, Inputs and Outputs
Agentify integrates large language models and speech models from third-party providers. You retain ownership of the content you submit ("Inputs") and, subject to these Terms and the providers' terms, of the AI-generated content returned to you ("Outputs"). You grant us a limited, non-exclusive, worldwide licence to host, process and transmit Inputs and Outputs solely to provide, secure and improve the Service for you.
Accuracy. AI Outputs may be inaccurate, incomplete or biased. You are responsible for reviewing Outputs before relying on them, especially for decisions affecting health, finance, legal matters, employment or other sensitive areas. The Service is not a substitute for qualified professional advice.
Voice and calling. When using Voice or Calling Agents, you are responsible for obtaining all required consents for recording, AI-generated voice and automated calling under the laws of all relevant jurisdictions, and for honouring opt-outs and do-not-call lists.
No model training on your data. We do not use your customer conversations, CRM records or knowledge base content to train foundation models, and we contractually require the same of our model providers where available.
9. Customer Data and Privacy
You are the controller of personal data you upload, capture or process through the Service ("Customer Data"). Agentify acts as a processor on your behalf. Our handling of personal data is described in our Privacy Policy. For customers subject to the GDPR or UK GDPR, our Data Processing Addendum is available on request at privacy@agentify.ai and is incorporated into these Terms upon execution.
10. Intellectual Property
Agentify and our licensors retain all right, title and interest in and to the Service, including all software, models we develop, documentation, branding and any feedback you provide. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription.
You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service, nor remove or obscure any proprietary notices. You may not use the Service to build a competing product or to benchmark it without our prior written consent.
11. Third-Party Services
The Service may integrate with third-party services (for example, CRMs, calendars, telephony providers, model providers and analytics tools). Your use of those services is governed by their own terms, and we are not responsible for their availability or actions.
12. Suspension and Termination
We may suspend or terminate your access immediately and without refund if you materially breach these Terms, fail to pay, create security or fraud risk, or use the Service in a way that may cause liability to us or to other users. You may terminate at any time by cancelling your subscription and deleting your workspace. On termination, your right to use the Service ends; we will retain or delete Customer Data as described in the Privacy Policy and applicable law.
13. Disclaimer of Warranties
Except where prohibited by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that AI Outputs will be accurate, lawful or suitable for your use case.
14. Limitation of Liability
To the maximum extent permitted by law, Agentify and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunities, even if advised of the possibility. Our aggregate liability arising out of or relating to the Service in any twelve-month period will not exceed the greater of (a) the amounts you paid to us for the Service in that period, or (b) one hundred euros (€100).
Nothing in these Terms limits liability that cannot be limited under applicable law (such as fraud, gross negligence, or death or personal injury caused by negligence).
15. Indemnification
You agree to defend, indemnify and hold harmless Agentify, its affiliates and their personnel from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your Inputs, your use of Outputs, your violation of these Terms or applicable law, or your infringement of any third-party right.
16. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
17. Governing Law and Disputes
These Terms are governed by the laws of Ireland, without regard to conflict-of-laws principles. The courts of Dublin, Ireland have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any competent court to protect intellectual property or confidential information. Consumers retain the protection of mandatory laws of their country of residence.
18. Miscellaneous
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Agentify regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. We may assign these Terms in connection with a merger, acquisition or sale of assets. You may not assign these Terms without our prior written consent. Failure to enforce a provision is not a waiver.
